French Language Resource Centre Board 

Membership consists on one representative from each of the following boards / Organizations. Representation is intended to be at a level of decision-making authority to support the effective management and operation of the French Language Resource Centre.

PEACE LIBRARY SYSTEM BOARD                                                         
          
 
WHEREAS the French Language Resource Centre (FLRC) has been formed by the Parties for the purpose of enhancing learning opportunities in French language and culture.  
 
AND WHEREAS FLRC applied for and received any required approvals for its formation and operation from Alberta Education; 
 
AND WHEREAS FLRC requires a corporate entity to act as Agent for it, and its members, and the Agent has agreed to act in that capacity and has been doing so;  
 
 
NOW THEREFORE the Parties agree as follows: 
 
DEFINITIONS
1) “Party” means, a participating board or organization 
2) “Agent” means the Party of the first part; 
3) “FLRC” means the French Language Resource Centre; 
4) “Directors” means the Board of Directors of FLRC;  
5) “Executive Director” means the Executive Director of FLRC; 
 
FLRC   
 
The Parties hereto agree that FLRC shall continue and the operation thereof will be governed by terms agreed to by its members. 
 
 
OPERATING COSTS 
 
Each of the Parties shall pay to the Agent, for the credit of FLRC, such amounts as are required to meet the operating requirements of FLRC. 
 
Notification shall be given in writing to the Agent so the Agent is aware of the amounts to be paid by each of the Parties. 
 
BOARD MEMBERSHIP ROLES/DUTIES
 
FLRC Board Members consist of one representative   Prepare for and participate in scheduled board meetings Work collaboratively to support the mission and vision of the FLRC. Support governance decisions once made Participate in the review of the FLRC’s mission and objectives and in the development of a strategic plan Help the board to monitor the performance of the Association in relation to its mission, objectives, core values and reputation Help establish, review and monitor operational procedures Participate in the hiring of the Director as needed Keep informed about community issues relevant to the mission and objectives of the FLRC
